Terms & Conditions
Welcome to Vade Digital. By subscribing to any of our web plans, you agree to the following terms and conditions. Please read them carefully.
1. Definitions
“Vade Digital” refers to the service provider.
“Client” refers to the individual or company purchasing services.
“Service(s)” means web design, development, hosting coordination, automations, maintenance, updates, and support included under the applicable plan.
“Subscription Plan” means an ongoing monthly service package.
“Project-Based Service” means a one-time website design & development project.
“Assets” means any images, videos, copy, brand materials, logos, or other content provided by Client.
“Updates/Revisions” mean modifications, edits, or additions to existing website content.
2. Scope of Services
2.1 Subscription Plans
Subscription Plans include:
Website build and setup
Hosting coordination
Maintenance and security updates
Unlimited content updates and revisions (see Section 4)
Automations using make.com (within plan scope)
Support via email/WhatsApp during business hours
Plan features vary depending on the selected plan (Standard, Pro, Premium/Custom). All features displayed on the Vade Digital website or proposal form part of these Terms.
2.2 Project-Based Services
Project-Based Services include:
Designing and developing the website (front-end + back-end)
Assisting with domain and hosting setup
Client is responsible for all recurring costs related to:
Domain name
Hosting
Third-party services
Plugins or platform subscriptions
Payment terms for project-based work:
50% upfront before work begins
50% due at completion before launch
Any post-launch changes are billed separately.
3. Subscription Term & Renewal
Minimum subscription commitment: six (6) months.
After six months, Client may cancel at any time with written notice before the next billing cycle.
Subscription automatically renews monthly until cancelled.
4. Unlimited Updates & Revisions
“Unlimited” means there is no numerical limit on requests.
However:
Vade Digital works with multiple clients concurrently.
Requests are completed in a reasonable timeframe.
Client will be informed of the estimated timeline for each request.
If additional time is needed, Vade Digital will notify Client.
Unlimited updates do not include:
Full redesigns
New functionality/features
Custom development beyond plan scope
These require a separate quote.
5. Client Responsibilities
Client must:
Provide all Assets required to complete the website (copy, images, videos, branding)
Respond to messages and approvals in a timely manner
Maintain an active payment method for subscription billing
If Client delays, timelines are extended, but subscription fees continue.
If Client does not have assets, Vade Digital can provide:
Photography
Video production
Graphic design
These services are charged separately.
6. Payment, Billing & Non-Payment
Billing begins upon first payment.
Payments are non-refundable.
If payment fails or is overdue:
Website and hosting are temporarily suspended
Services will resume only once payment is received
No work is performed during suspension periods.
7. Ownership & Licensing
7.1 Client Ownership
Client retains ownership of all Assets they provide:
Photos, videos, copy, branding materials
Vade Digital does not sell or reuse these Assets.
7.2 Vade Digital Ownership
Vade Digital retains ownership of:
Website framework, theme, code, templates
Automations, proprietary systems
Client receives a license to use the website and systems while subscription is active.
Upon cancellation or non-payment:
Website and hosting may be suspended and taken offline
All intellectual property remains with Vade Digital
Premium third-party licenses (fonts, plugins, etc.) are purchased separately by Client.
8. Delivery Timeline
Estimated build times:
Small website (1–10 pages): 1–2 weeks
Larger websites: 3–4 weeks
These timelines assume timely delivery of Assets and approvals.
Delays caused by Client extend delivery timelines; subscription payments continue during delays.
9. Hosting & Third-Party Services
Vade Digital assists with hosting setup but does not guarantee:
Hosting uptime (for project-based services only)
Platform performance
Shopify or e-commerce functionality
Third-party software stability
Any third-party fees are Client’s responsibility.
10. Cancellation & Suspension
To cancel after the minimum subscription period (6 months), Client must provide written notice before the next billing cycle.
If payment stops, the website and hosting are suspended until payment resumes.
No files, backups, source code, or access credentials are provided upon cancellation or non-payment.
Ownership of all website assets remains with Vade Digital.
Any requests for export, migration, or transfer are not included and require a separate paid agreement at Vade Digital’s discretion.
11. Confidentiality
All Client information, Assets, passwords, and business data are treated as confidential.
Vade Digital will not share or sell Client data.
12. Liability & Disclaimer
Services are provided “as-is.” Vade Digital is not liable for:
Downtime or data loss
Lost revenue or business interruption
Third-party plugin or platform failures
Delays caused by Client
Client ensures that their Assets do not infringe copyright.
13. Changes, Additional Work & Fees
Work beyond the selected plan (e.g., redesigns, new features, photography, video, premium fonts, complex automations) is billed separately.
A written quote will be provided before work begins.
14. Acceptance of Terms
By:
Paying the first invoice,
Signing a proposal, or
Using the service,
Client agrees to all terms in this agreement.
